1. Definitions
In these Terms and Conditions:
- "Agreement" means these Terms and Conditions together with any engagement letter or service contract
- "Conduitpns," "we," "our," "us" refers to Conduitpns, a business consulting firm operating in Hong Kong
- "Client," "you," "your" refers to the individual or organisation engaging our services
- "Services" means the consulting, advisory, and related professional services we provide
- "Deliverables" means reports, recommendations, frameworks, and other work products
- "Website" means our website at conduitpns.pro
2. Acceptance of Terms
By accessing our Website or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If acting on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.
If you do not agree with any part of these terms, please do not use our Website or engage our Services.
3. Service Description
Conduitpns provides business consulting services including:
- Integration Strategy Advisory
- Collaboration Enhancement Services
- Partnership Development Advisory
The specific scope, deliverables, timeline, and fees for each engagement will be detailed in a separate engagement letter or service agreement.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with reasonable notice to affected clients.
4. Client Responsibilities
To enable effective service delivery, you agree to:
- Provide accurate, complete, and timely information as reasonably requested
- Make available appropriate personnel for meetings and discussions
- Review and provide feedback on draft deliverables within agreed timeframes
- Inform us promptly of any changes that may affect the engagement
- Comply with all applicable laws and regulations
Delays or failures in meeting these responsibilities may affect our ability to deliver Services and may result in timeline or fee adjustments.
5. Acceptable Use
When using our Website, you agree not to:
- Use the Website for any unlawful purpose
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt the Website's functionality
- Transmit malicious code, spam, or harmful content
- Scrape, copy, or reproduce Website content without permission

6. Intellectual Property

6.2 Engagement Deliverables
Unless otherwise agreed in writing, upon full payment of applicable fees:
- Client receives a non-exclusive licence to use Deliverables for internal business purposes
- Conduitpns retains ownership of methodologies, frameworks, tools, and know-how
- We may use anonymised learnings to improve our services
6.3 Client Materials
You retain ownership of materials you provide to us. You grant us a limited licence to use such materials solely for performing the Services.
7. Fees and Payment
Fees for Services will be specified in the engagement letter. Unless otherwise agreed:
- All fees are quoted in Hong Kong Dollars (HKD)
- Invoices are payable within 30 days of issue
- Late payments may incur interest at 2% per month
- Out-of-pocket expenses are reimbursable with documentation
- Fees are exclusive of applicable taxes
We reserve the right to suspend Services if invoices remain unpaid beyond 60 days.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary or sensitive information disclosed during the engagement. This obligation does not apply to information that:
- Is or becomes publicly available through no fault of the receiving party
- Was already known to the receiving party
- Is independently developed without use of confidential information
- Is required to be disclosed by law or regulatory authority
Confidentiality obligations survive termination of the engagement for a period of three years.
9. Disclaimers
Our Services are provided on an "as is" basis. While we endeavour to provide high-quality advice:
- We do not warrant that our advice will achieve any particular outcome
- Business decisions and their consequences remain the Client's responsibility
- Our recommendations are based on information available at the time of the engagement
- We are not liable for decisions made based on incomplete or inaccurate information provided by the Client
Our Services do not constitute legal, accounting, or tax advice. Clients should consult qualified professionals for such matters.
10. Limitation of Liability
To the maximum extent permitted by Hong Kong law:
- Our total liability for any claim arising from the Services shall not exceed the fees paid for that specific engagement
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for lost profits, business interruption, or loss of data
These limitations apply regardless of the theory of liability, whether in contract, tort, or otherwise.
11. Indemnification
You agree to indemnify and hold harmless Conduitpns, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of our Services, or your violation of any third-party rights.
12. Termination
Either party may terminate an engagement:
- For convenience, with 30 days written notice
- Immediately, if the other party materially breaches the Agreement and fails to remedy within 14 days of notice
- Immediately, if the other party becomes insolvent or enters liquidation
Upon termination:
- Client shall pay for Services rendered through the termination date
- We shall deliver any completed or substantially completed Deliverables
- Confidentiality and intellectual property provisions survive
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemic, government actions, or telecommunications failures. The affected party shall notify the other promptly and use reasonable efforts to mitigate the impact.
14. Dispute Resolution
In the event of a dispute:
- The parties shall first attempt to resolve the matter through good faith negotiation
- If unresolved within 30 days, either party may refer the dispute to mediation under the Hong Kong Mediation Centre rules
- If mediation fails, the dispute shall be resolved by arbitration under the Hong Kong International Arbitration Centre rules
15. Governing Law
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of Hong Kong.
16. General Provisions
- Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect
- Waiver: Failure to enforce any right does not constitute waiver of that right
- Assignment: You may not assign your rights without our written consent
- Notices: Notices shall be in writing and delivered to the addresses specified in the engagement letter
17. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. For active engagements, material changes will be communicated directly. Continued use of our Website or Services constitutes acceptance of the revised Terms.
